1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the WhatsAI Android application (the "App"), operated by AutoReplyAI ("we," "our," or "us").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

2. Description of Service

WhatsAI is an Android application that provides AI-powered automatic replies for WhatsApp messages. The App:

  • Reads incoming WhatsApp notifications on your device
  • Generates AI-powered replies based on your rules and settings
  • Automatically sends replies through WhatsApp on your behalf
  • Provides analytics and rule management tools

WhatsAI is the consumer brand. The underlying technology is provided by AutoReplyAI.

3. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

4. Account & Subscription

4.1 Free plan

The App offers a free tier with 75 AI replies per day and up to 3 custom rules, as described on our pricing page. Paid Starter and Business plans include higher daily reply caps (250 and 500 per day respectively). Plan limits may change at our discretion with reasonable notice.

4.2 Paid plans

Paid subscriptions (Starter and Business) are billed monthly through Google Play when purchased in the Android app. By subscribing, you authorize recurring charges until you cancel.

4.3 Cancellation

You may cancel your subscription at any time through Google Play subscription settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods unless required by law.

4.4 Price changes

We reserve the right to change subscription prices. Existing subscribers will be notified before any price increase takes effect on their account.

5. Acceptable Use

You agree to use the App only for lawful purposes. You must not:

  • Use the App to send spam, harassment, or unsolicited bulk messages
  • Impersonate others or misrepresent your identity
  • Violate WhatsApp's Terms of Service or Meta's policies
  • Use the App for illegal activities or to promote harmful content
  • Attempt to reverse engineer, hack, or circumvent App limitations
  • Share your subscription access with unauthorized third parties
  • Use the App in ways that could damage our reputation or infrastructure

6. WhatsApp Disclaimer

WhatsAI is not affiliated with, endorsed by, or sponsored by WhatsApp Inc., Meta Platforms, Inc., or any of their subsidiaries. WhatsApp is a trademark of WhatsApp Inc.

You are solely responsible for ensuring your use of auto-replies complies with WhatsApp's terms and applicable laws in your jurisdiction. We are not responsible for any account restrictions, bans, or penalties imposed by WhatsApp or Meta resulting from your use of the App.

7. AI-Generated Content

Replies generated by the App are produced by artificial intelligence. You are responsible for reviewing your rules and settings to ensure replies are appropriate for your use case.

  • AI replies may occasionally be inaccurate or inappropriate
  • You are responsible for all messages sent from your WhatsApp account
  • We recommend configuring rules and filters appropriate to your needs
  • We do not guarantee the accuracy, legality, or suitability of AI replies

8. Intellectual Property

The App, including its design, code, branding, and documentation, is owned by AutoReplyAI and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal or business purposes in accordance with these Terms.

You may not copy, modify, distribute, or create derivative works of the App without our written permission.

9. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect and handle your data. By using the App, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The App will be uninterrupted, error-free, or secure
  • AI replies will always be accurate or appropriate
  • The App will remain compatible with future WhatsApp updates
  • The App will be available in all regions or on all devices

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOREPLYAI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE APP.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $50 USD, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold harmless AutoReplyAI from any claims, damages, or expenses (including legal fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the App at any time if you violate these Terms or for any other reason at our discretion. Upon termination, your right to use the App ceases immediately. Provisions that by their nature should survive termination will remain in effect.

14. Changes to Terms

We may modify these Terms at any time. We will update the "Last updated" date when changes are made. Material changes will be communicated through the App or via email where possible. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved through good-faith negotiation before pursuing formal legal remedies.
